"Client," "you," or "your" refers to the person, company, or organisation submitting a Booking Request or accessing the Website.

"Services" refers to the event organisation, planning, coordination, equipment hire, and related services offered by the Company.

"Booking Request" refers to your official submission (via website form, email, or written confirmation) detailing the required Services.

"Booking Fee" refers to the total cost of the booking of your place on one of the meetings.

"Confirmation of Booking Request" refers to the formal written acceptance by the Company (via email or official document) of your Booking Request.

"Confirmation of Booking" refers to the formal written acceptance by the Company (via email or official document) of your Successful Booking.

2. General Website Use

2.1. Intellectual Property

3. Event Booking and Payment Terms

3.1. Quotes and Pricing

All quotes provided by the Company are valid for 30 days from the date of issue unless otherwise specified. Quotes are based on the information provided by the Client; any changes to the requirements may result in a revised price.

3.2. Booking Acceptance and Agreement to Pay (Mandatory Clause)

A contract for Services is only formed when the Company issues a Confirmation of Booking in writing to the Client.

By submitting a Booking Request, you expressly agree that in the event that your Booking Request is accepted by the Company and a Confirmation of Booking is issued, you will be liable to pay the full Booking Fee promptly and according to the payment schedule outlined in Section 3.3.

3.3. Payment Terms

a. Booking Fee: The balance of the Booking Fee is due no later than 7 days prior to the event date. b. Non-Payment: Failure to pay the balance by the specified deadlines may result in the automatic cancellation of the booking by the Company, with no refund of any amounts already paid. Failure to pay may also result in additional charges being added to your balance. c. Continued Non-Payment: In the rare event that payment remains outstanding for an extended period, we may refer the debt to a Debt Collection Agency (DCA) or Enforcement Agent.

3.4. Client Responsibilities

The Client warrants that all information provided to the Company regarding the event is accurate and complete. The Client is responsible for obtaining all necessary permissions, licences, and insurance policies (other than those the Company agrees to hold) required for their attendance at an event.

3.5. Cancellation and Termination

a. Cancellation by Client: In the event that the Client is unable to attend, they may cancel their booking upto 10 days before the event date. In doing so, the booking will be re-allocated to the next available event (which the Client hasn't already booked) b. Cancellation by Company: The Company may cancel a booking due to circumstances beyond its reasonable control (e.g., force majeure, equipment failure, staff illness). In such cases, the Company shall refund all amounts paid by the Client, including the deposit. The Company's liability will be limited solely to the refund amount.

4.1. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) any Service-related failure. Our total liability to you for any claim arising out of or relating to the Services or these Terms is limited to the amount of the Booking Fee paid by you for the specific Services in question.

4.2. Indemnity

You agree to defend, indemnify, and hold harmless Joist Limited and its employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of (i) your use of the Services and/or (ii) any breach of these Terms.

5. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from these Terms.

6. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any rivision will be effective for any booking (requests or confirmed bookings) after a change and/or any Log in to the website. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
